1. Acceptance of Terms
By accessing or using Interiority ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and HueAI LLC ("we," "us," or "our"). By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Service Description
Interiority is an audio journaling platform that helps you record, organize, and gain insights from your voice journals.
The Service is provided "as is" and may be modified, updated, or discontinued at any time without prior notice.
3. User Responsibilities
By using the Service, you agree to:
- Provide accurate and current information during registration
- Maintain the security of your account credentials
- Use the Service only for lawful purposes
- Not use the Service to store or transmit malicious code
- Accept full responsibility for all content you create and upload
4. Prohibited Activities
You expressly agree NOT to:
4.1 Theft of Intellectual Property
- Reverse engineer, decompile, disassemble, or decipher any aspect of the Service
- Copy, reproduce, or extract any proprietary technology, algorithms, or methods
- Attempt to discover the source code, underlying ideas, or trade secrets
- Create derivative works or competing services based on the Service
- Bypass or disable any security measures or technological protections
4.2 General Misuse
- Use the Service for commercial purposes without written authorization
- Share, sell, or transfer your account to another person
- Attempt to gain unauthorized access to other users' accounts or data
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt the Service's infrastructure or normal operation
- Use automated tools, bots, or scrapers to access the Service
Violations of this section may result in immediate account termination, legal action for damages, and injunctive relief.
5. Intellectual Property Rights
All content, features, functionality, software, and materials provided through the Service are owned by Interiority or its licensors and are protected by United States and international copyright laws, trademark laws, patent laws, trade secret laws, and other intellectual property rights.
You are granted a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for personal, non-commercial purposes
- Create and store audio journals
- View your own content and insights
This license does NOT include the right to:
- Reproduce, distribute, modify, or create derivative works
- Publicly display or perform the Service
- Use the Service's branding, trademarks, or logos
- Access the Service's underlying technology or source code
6. User Content and Data Ownership
6.1 Your Content
You retain ownership of all audio recordings and other content you create using the Service ("User Content"). However, you grant us a limited license to:
- Store, process, and transmit your User Content
- Analyze and derive insights from your content
- Display your content and insights back to you within the Service
- Make backups for data integrity and disaster recovery
- Use data to improve our current and future services
6.2 Our Technology
You acknowledge that all technology, algorithms, and systems used to process your content remain our exclusive property. Any insights or results generated from your content are produced using our proprietary systems.
7. Third-Party Services
The Service integrates with third-party providers to deliver its functionality. Your use of these services is subject to their respective terms of service. We are not responsible for the practices or content of third-party services.
8. Disclaimers and Limitations of Liability
8.1 Medical Disclaimer
IMPORTANT: Interiority is NOT a medical device, mental health service, or therapy platform.
The insights provided are for personal reflection only. They should NOT be used:
- As a substitute for professional medical advice, diagnosis, or treatment
- To diagnose or treat any mental health condition
- As evidence of mental or emotional state in legal proceedings
- To make critical life decisions without consulting qualified professionals
Always seek the advice of qualified health providers with any questions regarding mental health or medical conditions.
8.2 Service Availability
We strive to provide reliable service but do NOT guarantee:
- Uninterrupted or error-free operation
- Accuracy or completeness of results
- Security from unauthorized access (though we implement reasonable safeguards)
- That the Service will meet your specific requirements
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability of results.
IN NO EVENT SHALL INTERIORITY BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Lost profits, data, or business opportunities
- Damages arising from use or inability to use the Service
- Damages resulting from unauthorized access to your data
- Any damages exceeding the amount you paid us in the past 12 months (or $100 if you have not paid us)
8.4 Indemnification
You agree to indemnify, defend, and hold harmless HueAI LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including attorney fees) arising from your violation of these Terms, your violation of any third-party rights, your misuse of the Service, or your User Content.
9. Account Termination
9.1 Termination by You
You may delete your account at any time through the App settings. Upon deletion request, your account will be scheduled for permanent deletion after a 30-day grace period, during which you may cancel the deletion request.
9.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms of Service
- You engage in fraudulent or illegal activity
- Your account has been inactive for an extended period
- We are required to do so by law
- We discontinue the Service
9.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- Your data will be deleted according to our Privacy Policy
- Sections 4, 5, 8, and 11 survive termination
10. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this document and notify you via email or in-app notification. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
11.2 Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
You agree to arbitration on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.
Exceptions to arbitration:
- You may bring claims in small claims court if they qualify
- Either party may seek injunctive relief in court to protect intellectual property rights
11.3 Jurisdiction and Venue
If arbitration does not apply, you agree that any legal action shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
12. General Provisions
12.1 Entire Agreement
These Terms constitute the entire agreement between you and Interiority regarding the Service.
12.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
12.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
12.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
BY CLICKING "I AGREE" OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
If you do not agree to these Terms, you must not access or use the Service.
