1. Acceptance of Terms

By accessing or using Interiority ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and HueAI LLC ("we," "us," or "our"). By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Service Description

Interiority is an audio journaling platform that helps you record, organize, and gain insights from your voice journals through AI-powered analysis.

The Service may provide personalized analysis and insights based on your journal entries. These features are designed for personal reflection and self-awareness purposes only.

The Service is provided "as is" and may be modified, updated, or discontinued at any time without prior notice.

3. User Responsibilities

By using the Service, you agree to:

Provide accurate and current information during registration
Maintain the security of your account credentials
Use the Service only for lawful purposes
Not use the Service to store or transmit malicious code
Accept full responsibility for all content you create and upload

4. Prohibited Activities

You expressly agree NOT to:

Reverse engineer, decompile, disassemble, or decipher any aspect of the Service
Copy, reproduce, or extract any proprietary technology, algorithms, or methods
Attempt to discover the source code, underlying ideas, or trade secrets
Create derivative works or competing services based on the Service
Bypass or disable any security measures or technological protections

4.2 General Misuse

Use the Service for commercial purposes without written authorization
Share, sell, or transfer your account to another person
Attempt to gain unauthorized access to other users' accounts or data
Violate any applicable laws, regulations, or third-party rights
Interfere with or disrupt the Service's infrastructure or normal operation
Use automated tools, bots, or scrapers to access the Service

Violations of this section may result in immediate account termination, legal action for damages, and injunctive relief.

5. Intellectual Property Rights

All content, features, functionality, software, and materials provided through the Service are owned by HueAI LLC or its licensors and are protected by:

United States and international copyright laws
Trademark laws
Patent laws
Trade secret laws
Other intellectual property rights

You are granted a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Service for personal, non-commercial purposes
Create and store audio journals
View your own content and insights

This license does NOT include the right to:

Reproduce, distribute, modify, or create derivative works
Publicly display or perform the Service
Use the Service's branding, trademarks, or logos
Access the Service's underlying technology or source code

6. User Content and Data Ownership

6.1 Your Content

You retain ownership of all audio recordings and other content you create using the Service ("User Content"). However, you grant us a limited license to:

Store, process, and transmit your User Content
Analyze and derive insights from your content
Display your content and insights back to you within the Service
Make backups for data integrity and disaster recovery
Use aggregated, anonymized data to improve our services

6.2 Our Technology

You acknowledge that all technology, algorithms, and systems used to process your content remain our exclusive property. Any insights or results generated from your content are produced using our proprietary systems.

7. Third-Party Services

The Service integrates with third-party providers to deliver its functionality:

Deepgram: Speech-to-text transcription
Google Gemini: AI analysis and extraction
Google Firebase: Cloud infrastructure and storage
Amplitude: Product analytics
Sentry: Error tracking and stability monitoring
Meta/Facebook: Install attribution
RevenueCat: Subscription management
Firebase Crashlytics: Crash reporting

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

8. Disclaimers and Limitations of Liability

8.1 Medical Disclaimer

IMPORTANT: Interiority is NOT a medical device, mental health service, or therapy platform. The insights provided are for personal reflection only. They should NOT be used:

As a substitute for professional medical advice, diagnosis, or treatment
To diagnose or treat any mental health condition
As evidence of mental or emotional state in legal proceedings
To make critical life decisions without consulting qualified professionals

Always seek the advice of qualified health providers with any questions regarding mental health or medical conditions.

8.2 Service Availability

We strive to provide reliable service but do NOT guarantee:

Uninterrupted or error-free operation
Accuracy or completeness of results
Security from unauthorized access (though we implement reasonable safeguards)
That the Service will meet your specific requirements

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of results

IN NO EVENT SHALL HueAI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Lost profits, data, or business opportunities
Damages arising from use or inability to use the Service
Damages resulting from unauthorized access to your data
Any damages exceeding the greater of the amount you paid us in the past 12 months or $100

This limitation applies even if we have been advised of the possibility of such damages.

8.4 Indemnification

You agree to indemnify, defend, and hold harmless HueAI LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including attorney fees) arising from:

Your violation of these Terms
Your violation of any third-party rights
Your misuse of the Service
Your User Content

9. Subscription and Payment Terms

9.1 Free Trial and Paid Features

HueAI LLC offers a free trial period followed by paid subscription plans. Certain features require a paid subscription. Trial duration and subscription pricing are as displayed in the app.

9.2 Pricing and Payment

Subscription fees are billed in advance on a recurring basis
All fees are non-refundable except as required by law or as explicitly stated
We reserve the right to modify pricing with at least 30 days' notice
Price changes will not affect your current subscription period
Current subscription plans and pricing are as displayed in the app at the time of purchase

9.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or platform store
Cancellation takes effect at the end of the current billing period
You will retain access to paid features until the end of the paid period
Refunds are provided only as required by law or at our sole discretion

10. Account Termination

10.1 Termination by You

You may delete your account at any time through the App settings. Upon deletion request:

A 30-day grace period begins during which you can cancel the request
After 30 days, your personal data is permanently deleted
Aggregated, anonymized analytics data may be retained as it cannot identify individual users
Data required for legal compliance may be retained as required by law
You will lose access to all content and features

10.2 Termination by Us

We may suspend or terminate your account at any time for:

Violation of these Terms
Fraudulent or illegal activity
Extended inactivity
As required by law

10.3 Effect of Termination

Upon termination of your account, whether by you or by us, the following sections shall survive and remain in full force and effect:

Section 5 (Intellectual Property Rights)
Section 4 (Prohibited Activities)
Section 8 (Disclaimers and Limitations of Liability)
Section 12 (Dispute Resolution)

11. Changes to Terms

We may update these Terms from time to time. When we make material changes:

We will update the "Effective Date" at the top of this document
We will notify you via email or in-app notification
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

12.2 Informal Resolution

Before filing any claim, you agree to contact us at support@interiority.ai and attempt to resolve the dispute informally for at least 60 days.

12.3 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You agree to arbitration on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

Exceptions to arbitration:

You may bring claims in small claims court if they qualify
Either party may seek injunctive relief in court to protect intellectual property rights

12.4 Arbitration Opt-Out

You may opt out of the arbitration agreement by sending written notice to support@interiority.ai within 30 days of first agreeing to these Terms. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other provisions of these Terms remain in effect.

12.5 Jurisdiction and Venue

If arbitration does not apply, you agree that any legal action shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. General Provisions

13.1 Entire Agreement and Hierarchy

These Terms, together with our User Agreement, Privacy Policy, and any other legal notices or policies published by HueAI LLC, constitute the entire agreement between you and HueAI LLC regarding the Service. In the event of any conflict between these Terms and the User Agreement, the User Agreement shall govern.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

HueAI LLC is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

BY CLICKING "I AGREE" OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

If you do not agree to these Terms, you must not access or use the Service.
